This Cookie Policy explains how Paramount (“we”, “us”, or “our”) uses cookies and similar technologies when you visit our website.
These terms and conditions govern all services provided by Nuovo Solutions ("we", "us", "our") to business clients ("the Client"). By engaging our services or signing a project proposal, you agree to these terms in full.
These terms apply to all service types: website design and build, custom application development, MVP development, and ongoing maintenance or management retainers.
Definitions
Project — any website, application, or MVP we agree to build for the Client
Proposal — a written document outlining scope, deliverables, timelines, and pricing for a specific project
Approval — written or verbal confirmation from the Client that they are satisfied with the deliverable
Go-live — the point at which a website or application is made publicly accessible
Handover — the transfer of full ownership, access, and control of a deliverable to the Client
Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Amendments
We reserve the right to update these terms at any time. Existing projects in progress will not be affected by changes made after a proposal has been signed.
Our process
We design and build your website prior to any payment being required. Once the website is complete, we will present it to you for review. You are under no obligation to proceed if you are not satisfied with the work.
Approval and payment
If you are happy with the website, payment is required before handover of assets, credentials, and full ownership. You have three payment options:
Full payment — pay the agreed fee in full upon approval. Handover occurs immediately.
Instalment plan — split the agreed fee across three equal monthly payments. The website may go live immediately, but full ownership and handover does not occur until the final payment is received.
Retainer — pay the agreed fee (or first instalment) and move onto an ongoing maintenance and management retainer. See the Retainers section for full terms.
Ownership during instalment period
Where an instalment plan is in place, Nuovo Solutions retains full legal ownership of the website until the final payment is received, including any domain, hosting, or platform accounts registered on behalf of the Client. The Client may use and operate the live website during this period but may not transfer, sell, or reassign it.
What happens if the Client does not proceed
If you choose not to proceed after reviewing the work, no payment is due. Nuovo Solutions retains ownership of all designs, code, and assets produced and may reuse or repurpose them at our discretion.
Client responsibilities
The Client agrees to:
Provide all required content (text, images, branding) in a timely manner
Respond to review requests within 5 business days
Ensure all content supplied is owned by or licensed to the Client
Delays caused by the Client may result in revised timelines. Nuovo Solutions accepts no liability for delays caused by missing or incomplete client-supplied content.
Revisions
Our standard build includes up to two rounds of revisions prior to approval. Additional revisions beyond this may be subject to additional charges, which will be communicated in advance.
Discovery and proposal
All app and MVP projects begin with a free audit and/or design mockup. This is provided at no cost and with no obligation. If you wish to proceed, we will issue a formal Proposal detailing:
Exact scope and features to be delivered
Estimated timeline and milestones
Total project fee
Service level agreements (SLAs) where applicable
Work does not begin until the Proposal has been reviewed, agreed, and signed by the Client.
Deposit
Upon signing the Proposal, a non-refundable deposit of 10% of the total project fee is required to commence development. This deposit secures your place in our schedule and covers initial work.
Completion and sign-off
On completion of the project, we will present the finished application for your review. You will have a reasonable review period (typically 5–10 business days, as stated in the Proposal) to test the deliverable against the agreed scope.
If you are satisfied, the remaining balance (90% of the total fee) becomes due before handover. The same payment options available for websites apply here:
Full payment — pay the remaining balance in full. Handover occurs immediately.
Instalment plan — split the remaining balance across up to three monthly payments. The application may be made live but ownership is retained by Nuovo Solutions until final payment.
Managed retainer — pay the remaining balance and transition to an ongoing management and maintenance retainer.
Scope changes
Any changes to the agreed scope after the Proposal is signed will be treated as a change request. We will issue an updated estimate for the additional work. Scope changes may affect timelines and total cost. Work on additions will not begin until agreed in writing.
If the Client is not satisfied
If the completed work does not meet the agreed scope as outlined in the signed Proposal, we will work with you to resolve the issue at no additional cost. If the project is abandoned due to dissatisfaction unrelated to a failure to deliver the agreed scope, the 10% deposit is non-refundable and Nuovo Solutions retains ownership of all work produced.
Third-party platforms
Some projects may be built using third-party platforms or tools (e.g. Lovable, Supabase, or similar). The Client accepts that the functionality of such platforms is outside our direct control. We will disclose all third-party dependencies in the Proposal.
What retainers cover
Our maintenance and management retainers cover ongoing support, updates, and management of websites or applications we have built. The specific scope of each retainer will be agreed in writing before commencement.
Typical retainer services include:
Regular content and software updates
Performance and uptime monitoring
Bug fixes and minor amendments
Technical support via email or agreed communication channel
Billing
Retainers are billed monthly in advance. The first payment is due on the date the retainer commences. Subsequent payments are due on the same date each month.
Notice period
Either party may terminate a retainer with 30 days' written notice. Work will continue through the notice period. No refunds are issued for any unused portion of a prepaid month.
Fair use
Retainers are subject to a fair use policy. If requests consistently exceed the agreed scope, we will notify you and discuss revised terms. We will never carry out significant additional work without your agreement and an updated quote.
Ownership during retainer
Where a retainer is in place alongside an active instalment plan, ownership of the website or application remains with Nuovo Solutions until the full project fee has been paid, regardless of retainer status.
Payment terms
All invoices are due within 7 days of issue unless otherwise agreed in writing. We reserve the right to charge interest on overdue invoices at a rate of 8% above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998.
Where an instalment plan is in place, failure to make any scheduled payment may result in suspension of access to the live site or application until payment is received. Persistent non-payment may result in the project being taken offline and the outstanding balance being pursued through legal means.
Intellectual property
All designs, code, assets, and deliverables produced by Nuovo Solutions remain the intellectual property of Nuovo Solutions until the full agreed project fee has been paid in its entirety. Upon receipt of full payment, all relevant intellectual property is transferred to the Client.
The Client grants Nuovo Solutions a non-exclusive licence to display completed work in our portfolio unless otherwise agreed in writing.
Client-supplied content
The Client warrants that all content, imagery, copy, and materials supplied to us are either owned by the Client or properly licensed for the intended use. Nuovo Solutions accepts no liability for any intellectual property infringement arising from client-supplied content.
Third-party licences
Where third-party tools, fonts, plugins, or platforms are used in a project, any associated licensing costs are the Client's responsibility unless explicitly included in the agreed project fee.
Limitation of liability
To the fullest extent permitted by law, Nuovo Solutions' total liability to the Client in connection with any project or service shall not exceed the total fees paid by the Client for that specific project or service.
We are not liable for:
Loss of revenue, profit, or business opportunity
Data loss or corruption
Third-party platform outages or failures
Consequential or indirect losses of any kind
Warranties
We warrant that all work will be carried out with reasonable skill and care. We do not warrant that any website or application will be free from bugs at all times, but we will use reasonable efforts to resolve issues that are reported to us.
Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the course of a project. This obligation survives termination of any agreement.
Force majeure
Neither party shall be held liable for delays or failures caused by circumstances beyond their reasonable control, including but not limited to platform outages, natural events, or changes in law.
Entire agreement
These terms, together with any signed Proposal, constitute the entire agreement between Nuovo Solutions and the Client. They supersede all prior discussions, representations, or agreements.
